Terms of Service
The agreement between you and us for using agental. Please read it before you create an account.
Last updated 4 November 2026
These terms
These terms are an agreement between you and VERTIXER LTD, a company registered in Bulgaria under number 208418587, with its registered office at 2 Bulgaria Str., 2850 Petrich, Bulgaria ("we", "us"). They cover agental: the API at agental.io, the console, the command-line tool, the SDKs, the docs, and every sandbox you create (together, "the service").
If you accept them for a company or another organisation, you confirm you may bind it, and "you" means that organisation. The Acceptable Use Policy and the Refunds and cancellation policy are part of these terms, and so is the Data Processing Addendum wherever we process personal data for you. How we handle your own personal data is described in the Privacy Policy.
Who may use agental
- agental is offered to businesses, and to people acting for their trade, business, craft or profession, including developers building something of their own. It is not offered to consumers. By creating an account you confirm you will use it in that capacity.
- You must be at least 18 and able to enter into a binding contract.
- You may not use agental if you, or anyone you act for, are the target of sanctions of the European Union, the United Nations, the United Kingdom or the United States, or are in a country or region under comprehensive sanctions.
- While sign-up is by invitation, a new account needs an invite code. You may not open more than one account to get more free credit or higher limits.
Your account and keys
- Give us an email address that works and keep it current. We send sign-in codes, a welcome email with setup steps when your first plan starts, billing notices and notices under these terms to it.
- You are responsible for everything done with your account and its API keys, including by your agents and by anyone you give a key to. Keep keys secret, give each one only what it needs, and revoke a key you think has been exposed.
- Tell us at once at [email protected] if you think your account has been used without your permission.
The service
- A sandbox is a Linux virtual machine on hardware we run. You choose its size. What each size costs is on the Pricing page and in the API.
- A sandbox stops when its time limit is reached. You may set a longer limit, up to the most the API allows. Your plan limits how many sandboxes you may have at once.
- We change agental as we improve it, and may add, change or remove features. If we remove a feature you pay for, or change the API in a way that breaks calls that worked, we will tell you at least 30 days before, unless security or the law needs a faster change.
- Features we mark as preview or beta are offered as they are, and may change or end without notice.
- We work to keep agental available, but we do not promise a level of availability, and there is no service level agreement. Hardware fails: keep a copy of anything you cannot afford to lose outside agental.
The free plan
Every account starts on the free plan, which has no monthly fee. To use it you save a card with Stripe, and nothing is charged. When a card is first saved, the account is given the free credit shown on the Pricing page, once for each account and once for each card. It does not expire while your account is open, and it is never paid out as money.
On the free plan, what you use is paid from that credit and from top-ups, at the same prices as on any plan. It makes the sizes, and runs the number of sandboxes at once, shown on the Pricing page, fewer until you first buy a top-up.
Plans, usage and payment
- Prices are in US dollars and are shown on the Pricing page. Machine time is metered by the second while a sandbox runs. Anything else that is charged, such as a stopped sandbox's disk, snapshots past the free ones and email messages, is metered as the Pricing page says.
- A paid plan is a monthly subscription. It includes credits each month, and it renews every month until you cancel it. Included credits not used in a month do not carry over.
- Top-ups are credits paid for in advance. They are used after the month's credits, and do not expire while your account is open. A larger top-up adds a bonus of credits, as the Pricing page says. The bonus is credits only: it is never paid out as money.
- When the month's credits and your top-ups are used up, we email you. If no top-up is added within 24 hours, running sandboxes stop, with their disks kept, and cannot be started until you buy a top-up or, on a paid plan, a new month begins.
- You can set an auto-reload: a top-up of an amount you choose, charged to the card you last paid with, with any tax that applies, when the month's credits and your top-ups are used up, so that nothing stops. We charge it at most three times in a day, and not again for a day after a charge that did not go through. You can change or turn it off at any time under Billing, and we email you each time it is charged.
- Changing to another plan takes effect at once, and the difference is charged or refunded in proportion to the time left in the month.
- You buy a plan or a top-up from us. Stripe takes the payment for us: it charges your card, and keeps it for the renewals and the auto-reload you ask for. We add any VAT or sales tax that applies, from the billing address and the VAT number you give at checkout, and send the invoice. Your use of agental stays under these terms.
- We may change our prices. A new price for something you already pay for applies from your first billing month that starts at least 30 days after we tell you. Top-ups you have bought keep their dollar value.
- If you think a charge is wrong, tell us at [email protected] within 60 days of it. We correct our mistakes with a credit or a refund.
Cancelling
You can cancel your plan at any time from the Billing page of the console. It stays active until the end of the month already paid for, and then it is not renewed, and your account goes back to the free plan. What we refund is in the Refunds and cancellation policy.
Your content
- What you and your agents put into agental is your content: files, code, commands and their output, email your sandboxes receive, and the like. It stays yours.
- You give us the right to store, copy, move and process your content only as far as we need to run agental for you, keep it secure, and comply with the law.
- We do not look inside your sandboxes, except when you ask us to for support, when we must to look into a breach of these terms or a threat to the service, or when the law requires it.
- You are responsible for your content, for having the rights to it, and for the software you run. Where your content includes other people's personal data, the Data Processing Addendum applies.
- Deleting a sandbox deletes its disk, except that a sandbox with snapshots is kept, switched off, until its last snapshot is deleted. Deleting a snapshot or a message deletes it. We keep no copy we could bring back for you, and we do not back up your sandboxes.
Acceptable use
You must follow the Acceptable Use Policy, and make sure your agents and anyone using your keys do too. An agent acts for you: what it does with your account counts as what you do.
Suspension and closing
- We may stop sandboxes, revoke keys, switch off email, or suspend an account if it breaches these terms, puts the service, other customers or anyone else at risk, if a payment fails, or if the law requires it. We do no more than the problem needs and tell you what we did and why, unless the law or an investigation does not allow it.
- You can close your account at any time from Settings in the console. Its plan ends at once, and you can reopen it for 30 days. Then it is erased, as the Privacy Policy describes.
- We may end these terms with 30 days' notice, or at once for a serious or repeated breach.
- When an account has had no card saved and no plan for 30 days, has been out of credit on the free plan for 30 days, or has owed for 30 days for what it used past its plan's credits and its top-ups, we may delete its sandboxes, snapshots, stored email and other content. We email the account first. Copy out anything you want to keep.
- What you owe, and the sections on your content, disclaimers, liability, indemnity and the law, continue after these terms end.
Software and services of others
Sandboxes run open-source software, such as the Linux distribution and Docker, under those projects' own licences. What you install, and what you connect your sandboxes to, including model providers and the sites your agents visit, is between you and its provider.
Feedback
If you send us ideas or suggestions, we may use them freely and owe you nothing for them.
Disclaimers
Except where these terms say otherwise, agental is provided "as is" and "as available". As far as the law allows, we give no implied warranties, including of merchantability, fitness for a particular purpose or non-infringement, and we do not promise that the service will be uninterrupted or free of errors, or that data will never be lost.
Limits on liability
- Neither of us is liable to the other for indirect or consequential loss, or for loss of profit, revenue, business or data, even if it could be foreseen.
- Our total liability arising from these terms or the service, in any 12 months, is limited to what you paid for agental in the 12 months before the event that caused the claim, or 100 US dollars if that is more.
- These limits do not apply to liability for intent or gross negligence, for death or personal injury, or to any other liability the law does not allow to be limited.
Indemnity
You will defend us against claims by others, and pay the damages, fines and reasonable costs that result, where they arise from your content, from your or your agents' use of agental in breach of these terms or the Acceptable Use Policy, or from your breach of the law.
Changes to these terms
We may update these terms. We post the new version here with its date. If a change reduces your rights, we email you at least 30 days before it takes effect, so you can cancel first. A change the law requires, or one that only describes a new feature or corrects a mistake, may take effect at once. Using agental after a change takes effect means you accept it.
Law and disputes
These terms are governed by the law of the Republic of Bulgaria. The United Nations Convention on Contracts for the International Sale of Goods does not apply. The courts of Bulgaria have exclusive jurisdiction, and a dispute goes to the court competent for our registered office. Before going to court, write to us so we can try to settle it.
General
- We send notices to your account's email address, and you send them to [email protected]. Email counts as writing.
- You may not transfer these terms without our written consent. We may transfer them to whoever takes over agental, and will tell you.
- Neither of us is liable for a delay or failure caused by events beyond reasonable control, such as power or network failures outside our sites, natural disasters, war or acts of government. This does not excuse payment.
- If part of these terms cannot be enforced, the rest still applies. Not enforcing a right is not giving it up.
- These terms, with the documents they name, are the whole agreement about agental and replace any earlier one. Terms in your purchase orders do not apply.
- These terms are written in English. A translation is for convenience only.
